Terms of Service

Last updated November 5, 2026

These terms govern your use of MacroDirector, a product of Sakamoto Labs LLC (“we”, “us”). By creating an account you agree to them.

1. The service

MacroDirector helps a company run the meetings of its board and committees — agendas, pre-reads, attendance, votes, minutes, written consents and action items — on top of the entity's records in MacroEntity. It is in beta: features may change, and we may suspend accounts that abuse the service or its infrastructure.

2. Not legal advice

MacroDirector keeps a record and drafts documents from it; it is not legal advice, and using it creates no attorney–client relationship. Drafted minutes and consents are a starting point: read and correct them before approving them. Whether a meeting had quorum, a resolution carried, or an electronic written consent is valid depends on your bylaws and jurisdiction; check with counsel before relying on a record for a filing, a transaction or a diligence response.

3. Your content

You own the documents you upload and the records you build from them. You grant us the rights needed to store, process and display them to run the service, including sending notices to the members of your bodies and filing records in MacroEntity when you ask. You are responsible for having the right to upload each document, including the personal data of the people named in it.

4. Acceptable use

Do not upload documents you are not entitled to share, use MacroDirector to misrepresent a company's records or sign in someone else's name, distribute malware, or overload our systems.

5. Your account

Keep your sign-in credentials secret. Activity in your account is your responsibility.

6. Fees

The service is free during beta. We will give notice before introducing fees, and nothing will be charged without your agreement.

7. Disclaimers and liability

The service is provided “as is” and “as available”. Keep your own copies of important documents. To the maximum extent permitted by law, Sakamoto Labs is not liable for indirect or consequential damages, and our total liability is limited to the amount you paid us in the past twelve months.

8. Termination

You may stop using the service and delete your documents or your account at any time; deleting your account deletes the companies you own and all of their files. We may terminate accounts that breach these terms.

9. Changes and law

We may update these terms with notice. They are governed by the laws of the State of Florida.
